A well-organized initial record helps demonstrate how the company was established and operated from the beginning.

For S corporation owners: the package includes a practical discussion of payroll versus distributions and the factors used to establish reasonable compensation. It does not promise an IRS-approved salary; the amount depends on the shareholder's duties, time, experience, and the facts of the business.

Clear Scope

What is not included

The formation package does not include registered-agent service, ongoing annual-report filings, industry-specific business licenses or permits, payroll implementation, ongoing bookkeeping, or continuing compliance services. Those services may be provided or coordinated separately when available and agreed in writing.

Pono Ledger provides administrative formation and tax coordination. Requested changes to legal provisions and legal questions are referred to qualified counsel.

Which business types can you form?

The package is available for corporations, limited liability companies, and partnerships. The organizational records and company kit are matched to the entity type.

Are Hawaiʻi filing fees included?

Yes. The applicable Hawaiʻi government formation filing fee is included in the $2,500 package. For another state, that state's government filing fees are additional.

Does the package include an S corporation election?

When an S corporation election is selected, we prepare and file Form 2553. Your one-hour EA consultation also covers payroll, shareholder distributions, and reasonable-compensation considerations.

Do I receive blank templates?

No. We populate the applicable document templates with the information you provide and route the documents for electronic signature. Policies, procedures, and the employee handbook are delivered as customizable operating resources because each company decides how those materials should apply to its workplace.

Does this include bookkeeping after formation?

No. The package includes setup of a properly configured QuickBooks Online company file. Ongoing bookkeeping and payroll implementation are separate services and are quoted in writing.

Does Pono provide legal advice?

Pono provides formation administration and tax coordination. If you request changes to legal provisions or need legal advice, we refer the question to qualified counsel.
